These Terms and Conditions (“Terms”) govern the use of the BrightStack Systems website and the services provided by BrightStack Systems (“we”, “us”, “our”).

By accessing our website or using our services, you agree to these Terms.

1. Services

BrightStack Systems provides automation, workflow, and systems setup services for service-based businesses.
Specific services, pricing, and deliverables will be agreed with you before work begins.

We aim to provide services with reasonable skill and care but do not guarantee specific financial outcomes or business results.

2. Payments

  • Setup fees are payable upfront before any work begins.

  • Monthly retainers are billed in advance on a recurring basis once your system is live.

  • All prices are stated in GBP unless otherwise agreed.

  • Late or unpaid invoices may result in suspension of services until payment is received.

3. Cancellations

You may cancel ongoing services at any time by providing 30 days’ written notice.

Any fees already paid are non-refundable.
Setup fees are non-refundable once work has commenced.

4. Client Responsibilities

You agree to:

  • Provide accurate and complete information required to deliver the service

  • Respond in a reasonable timeframe when input or approval is needed

  • Ensure you have the right to share any data, content, or access you provide to us

Delays caused by missing or inaccurate information may affect delivery timelines.

5. Third-Party Services

Our systems may rely on third-party platforms (such as email providers, calendar tools, hosting platforms, or automation software).

We are not responsible for outages, changes, or failures caused by third-party services outside of our control.

6. Limitation of Liability

To the fullest extent permitted by law:

  • BrightStack Systems will not be liable for any indirect, incidental, or consequential losses

  • We are not responsible for loss of profits, business interruption, or missed opportunities

  • Our total liability will not exceed the fees paid by you for services in the previous 3 months

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

7. Intellectual Property

All systems, workflows, documentation, and materials created by BrightStack Systems remain our intellectual property unless otherwise agreed.

You are granted a non-exclusive right to use the systems we build for your own business while you remain a client.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement.

9. Changes to These Terms

We may update these Terms from time to time.
The latest version will always be available on our website.

Continued use of our services after changes are published constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
